ARC Developments is engaged to provide advisory services for
the development of a portfolio of renewable projects in Asia for
a large European utility
Activities included:
Identification and securing of development rights for Clean
Development Mechanism (CDM) registered or CDM-registrable Projects
Drafting and negotiation of shareholders and/or joint venture
agreements with equity partners
Review of, advice on and, as required, negotiation of energy
off-take agreements
Construction and upkeep of financial models
Assisting equity holders in securing design, procurement,
construction and commissioning contracts with suitable counterparties
to provide satisfactory fixed lump sum pricing, output and efficiency
warranties and suitable defects liability periods
Advice and structuring of suitable operation, maintenance
and management strategies
Managing the sourcing and raising of international non-recourse
project finance;
Ensuring adequate land and interconnection agreements are
in place
Ensuring all permits and approvals are in place to allow projects
to operate to environmental and legal requirements
Working and liaising with the client’s in-house development
team, specialists and third party advisors as necessary to achieve
financial close of the projects and until commercial operation
date
Undertake technical, financial, legal and commercial due diligence
exercise and present the technical, financial, legal and commercial
findings to the client
